1. Acceptance of Terms

Welcome to Chargekr. These Terms of Service ("Terms") govern your access to and use of the Chargekr mobile application, website, and all related services (collectively, the "Platform") operated by Chargekr ("Company," "we," "our," or "us").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility

To use the Platform, you must:

Be at least 18 years of age or the legal age of majority in your jurisdiction.
Have the legal capacity to enter into binding agreements.
Provide accurate, current, and complete registration information.
Not have been previously suspended or removed from the Platform.
Comply with all applicable laws and regulations of India.

3. Account Registration & Security

3.1 You must register for an account to use the Platform's core features. You agree to provide truthful, accurate, and complete information during registration.

3.2 You are responsible for maintaining the confidentiality of your account credentials (password, OTP, etc.) and for all activities that occur under your account.

3.3 You must immediately notify us at info@chargekr.com if you suspect any unauthorized use of your account.

3.4 We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or are involved in fraudulent activity.

4. Platform Description & Role

4.1 Chargekr is a peer-to-peer marketplace that connects EV charger owners ("Hosts") with electric vehicle drivers ("Drivers") seeking charging services.

4.2 Chargekr is an intermediary platform only. We do not own, operate, manage, or control any charger listed on the Platform. We facilitate connections between Hosts and Drivers but are not a party to the actual charging transaction.

4.3 We are not responsible for the condition, safety, legality, or suitability of any charger listed on the Platform. Hosts are solely responsible for their charger's maintenance, safety compliance, and availability.

4.4 In accordance with India's Information Technology Act, 2000 (Section 79), Chargekr acts as an intermediary and is not liable for third-party content or transactions facilitated through the Platform, provided we exercise due diligence.

5. Terms for Charger Hosts

By listing a charger on the Platform, you agree to:

Ownership/Authorization: You own the charger or have explicit authorization from the property owner to list and share it.
Accurate Information: Provide truthful charger specifications, photos, location, and availability schedules.
Safety & Maintenance: Ensure your charger is in safe working condition, properly installed by a licensed electrician, and compliant with Bureau of Indian Standards (BIS) and local electrical safety regulations.
Availability: Honor confirmed bookings. Repeated cancellations or no-shows may result in reduced visibility or account suspension.
Electricity Costs: You are responsible for all electricity costs. Set your pricing to account for electricity rates, wear and tear, and desired profit margin.
Insurance: We recommend hosts maintain appropriate homeowner's or renter's insurance. Chargekr's host protection policy supplements but does not replace your personal insurance.
Tax Compliance: You are solely responsible for reporting income earned through Chargekr and paying all applicable taxes (income tax, GST if applicable).

6. Terms for Drivers

By using the Platform to find and book chargers, you agree to:

Respectful Use: Treat the host's property and charger with care. You are liable for any damage caused to the charger or property during your session.
Timely Sessions: Start and end charging sessions within the booked time slot. Overstaying may incur additional charges.
Vehicle Compatibility: Ensure your vehicle is compatible with the listed charger type before booking. Chargekr is not liable for damage caused by incompatible charging.
Payment: Pay for all booked sessions through the Platform. Attempting to arrange off-platform payments is a violation of these Terms.
Reviews: Provide honest and fair reviews. Fraudulent, abusive, or retaliatory reviews may be removed.

7. Payments, Fees & Refunds

7.1 Pricing: Hosts set their own charging rates. Chargekr may provide pricing recommendations but does not control final pricing.

7.2 Platform Fee: Chargekr charges a 15% service fee on each booking, deducted from the host's earnings. This covers payment processing, insurance, platform maintenance, and support.

7.3 Payment Processing: All payments are processed through secure third-party payment gateways. We accept UPI, credit/debit cards, and net banking.

7.4 Host Payouts: Earnings are deposited into the host's registered bank account on a weekly basis (every Monday for the previous week's bookings). Minimum payout threshold is ₹100.

7.5 Refund Policy:

Cancellation by Driver: Free cancellation up to 30 minutes before the booking. Late cancellations are charged 25% of the booking amount.
Cancellation by Host: If a host cancels a confirmed booking, the driver receives a full refund. Repeated host cancellations may result in penalties.
Charger Malfunction: If a charging session is interrupted due to charger malfunction, the driver is refunded for the unused portion of the booking.
Disputes: Payment disputes must be raised within 7 days of the transaction. Chargekr will investigate and resolve disputes within 15 business days.

7.6 GST: All fees charged by Chargekr are inclusive of Goods and Services Tax (GST) as applicable under Indian tax law.

8. Host Protection & Insurance

8.1 Chargekr provides a Host Protection Policy that covers eligible damage to the charger caused by drivers during a Chargekr-booked session, up to ₹2,00,000 per incident.

8.2 Coverage Includes: Physical damage to the charger, damage to the electrical connection point, and accidental cable damage.

8.3 Coverage Excludes: Pre-existing damage, normal wear and tear, damage caused by the host or their household, natural disasters, theft, and damage exceeding ₹2,00,000.

8.4 Claims must be filed within 48 hours of the incident with photographic evidence. Chargekr reserves the right to investigate and determine claim validity.

9. Prohibited Conduct

You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
Provide false, misleading, or fraudulent information in your profile, listings, or reviews.
Circumvent, disable, or interfere with the Platform's security features.
Scrape, crawl, or use automated means to access the Platform without written permission.
Arrange off-platform payments or encourage other users to transact outside the Platform.
Harass, threaten, abuse, or discriminate against any user.
List chargers you do not own or are not authorized to share.
Create multiple accounts or impersonate another person.

Violation of these rules may result in immediate account suspension or termination, forfeiture of earnings, and/or legal action.

10. Intellectual Property

10.1 The Platform, including its design, logos, trademarks, text, graphics, software, and all other content ("Chargekr IP") is owned by or licensed to Chargekr and protected by Indian and international intellectual property laws.

10.2 You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes (or for listing chargers as a host).

10.3 By posting content (reviews, photos, listings) on the Platform, you grant Chargekr a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute such content in connection with operating the Platform.

11. Limitation of Liability

11.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." We make no warranties, express or implied, regarding the Platform's availability, reliability, accuracy, or fitness for any particular purpose.

11.2 To the maximum extent permitted by applicable law, Chargekr shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages.
Loss of profits, data, goodwill, or other intangible losses.
Damage to your vehicle, property, or person arising from the use of any charger listed on the Platform.
Inaccurate charger listings, pricing, or availability information posted by hosts.
Service interruptions, system failures, or cybersecurity incidents.

11.3 Our total aggregate liability arising from or relating to these Terms shall not exceed the total fees paid by you to Chargekr in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Chargekr, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your negligence or willful misconduct.

13. Dispute Resolution & Governing Law

13.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.

13.2 Mediation First: In the event of any dispute, both parties agree to first attempt resolution through good-faith mediation before pursuing formal proceedings.

13.3 Arbitration: If mediation fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted in English, and the seat of arbitration shall be in India.

13.4 Jurisdiction: Subject to the arbitration clause, the courts in India shall have exclusive jurisdiction over any disputes arising under these Terms.

14. Termination

14.1 By You: You may terminate your account at any time by deleting your account through the app settings or by emailing info@chargekr.com. Outstanding earnings will be paid out within 30 days of account deletion.

14.2 By Chargekr: We may suspend or terminate your account at any time, with or without cause, with or without notice if: you violate these Terms; engage in fraudulent conduct; pose a safety risk; or upon receiving a valid legal order.

14.3 Effect of Termination: Upon termination, your right to use the Platform ceases. Sections that by their nature should survive termination (e.g., Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution) shall survive.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated "Last updated" date.

For material changes, we will provide notice through:

In-app notification at least 15 days before the changes take effect.
Email notification to your registered email address.

Continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Platform and delete your account.

16. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Chargekr.
Severability: If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Failure to enforce any right or provision does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms. Chargekr may assign its rights and obligations without your consent.
Force Majeure: Chargekr shall not be liable for delays or failures due to events beyond reasonable control (natural disasters, government actions, pandemics, etc.).
